Josda Website Terms of Use

By accessing or using any pages of josda.ai (the “Site”), you agree to be bound by these Terms and by our Privacy Notice (collectively, the “Agreement”). If you do not agree, do not access the Site. If you will use Josda’s subscription software or APIs, separate SaaS terms will govern that use and will prevail over any conflicting provision herein.

You must be (a) at least 18 years old (or the age of legal majority where you live) and (b) able to form a binding contract. You represent that you have authority to accept these Terms on behalf of yourself or any entity you represent.

We may modify these Terms at any time by posting an updated version on the Site and revising the “Last Updated” date above. Material changes will become effective 30 days after posting. Your continued use after that date constitutes acceptance of the revised Terms.

The Site provides general information about Josda, a U.S.-based software-as-a-service company. Josda provides software tools and related services that help financial advisors and their clients organize practical estate planning information, including financial accounts, documents, digital access information, key contacts, insurance, liabilities, tax records, professional relationships, household information, and other information that may be useful in the event of death, disability, or serious emergency.

Josda may also provide tools or resources that help families and professionals understand or manage practical tasks that arise after a death or serious emergency. The Site may offer newsletters, blogs, white papers, demo requests, and other marketing content (collectively, “Content”). The Site itself is not the operational SaaS application; access to the application is granted only under a separate subscription agreement.

Josda is not a law firm and does not provide legal, tax, investment, financial, accounting, or other professional advice. Josda does not draft, review, or execute wills, trusts, powers of attorney, healthcare directives, beneficiary designations, or any other legal instruments, and Josda is not a substitute for an estate planning attorney, tax advisor, financial advisor, accountant, or other qualified professional.

Content on the Site—including articles, calculators, AI-generated responses, and downloadable materials—is for informational purposes only. No attorney-client, fiduciary, or other professional relationship is created by your use of the Site. You are responsible for reviewing any information you enter or receive for accuracy, for deciding what information to share and with whom, and for consulting qualified professionals before acting on any information made available through the Site or the Josda application.

Josda is not a password manager or credential vault and should not be relied upon as one. You remain responsible for safeguarding your own passwords, access credentials, and security practices.

Certain features (e.g., gated resources, event registrations, or early-access portals) may require you to create an account. You agree to provide accurate information, keep your credentials confidential, and promptly notify us of any unauthorized use. We may suspend or terminate accounts that violate these Terms.

If the Site allows you to purchase a Josda subscription or pay for add-ons:

• Pricing & Taxes. Prices and billing cycles will be shown in the order flow. All fees are exclusive of applicable taxes unless stated otherwise.
• Payment Method. You authorize us (or our payment processor) to charge the payment method you provide for all amounts due.
• Auto-Renewal. Unless you cancel before the end of the current term, subscriptions automatically renew for the same length at the then-current price. You may cancel renewal via the SaaS application profile page or by contacting Josda’s support team.

Full SaaS terms will be presented in the order flow and govern the subscription itself.

All Content on the Site is owned by Josda or its licensors and is protected by U.S. and international intellectual-property laws. Subject to these Terms, Josda grants you a personal, non-exclusive, revocable, non-transferable license to access and display the Site solely for your own informational, non-commercial use. No other rights are granted. All trademarks, logos, and service marks are Josda’s property or that of third parties.

You agree you will not:

• Reverse-engineer, scrape, or extract data from the Site or our underlying software.
• Upload or transmit viruses, malware, or other harmful code.
• Use any automated system (bots, spiders) to access the Site in a manner that sends more request messages than a human could reasonably produce in the same period.
• Misrepresent your affiliation with Josda or use the Site to compete with us.
• Violate applicable laws, export controls, or third-party rights.

We may investigate violations and cooperate with law-enforcement authorities.

If you submit ideas, suggestions, or other feedback, you grant Josda a perpetual, irrevocable, royalty-free license to use, modify, and commercialize that feedback without restriction or compensation.

The Site may link to third-party websites or services that Josda does not own or control. Josda is not responsible for any third-party content, terms, or privacy practices. Your dealings with third parties are solely between you and the third party.

Our privacy practices are described in the Privacy Notice. By using the Site, you consent to the collection, use, and sharing of information as described there.

THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” JOSDA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. JOSDA DOES NOT WARRANT THAT THE SITE IS ERROR-FREE, SECURE, OR THAT ACCESS WILL BE UNINTERRUPTED.

TO THE FULLEST EXTENT PERMITTED BY LAW, JOSDA WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SITE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL JOSDA’S TOTAL LIABILITY EXCEED US $100 OR THE AMOUNT YOU PAID JOSDA IN THE 12 MONTHS BEFORE THE CLAIM AROSE— WHICHEVER IS GREATER.

Some jurisdictions do not allow certain limitations, so the above may not apply to you. Nothing here excludes liability for gross negligence, intentional misconduct, or any liability that cannot be limited under applicable law.

You will indemnify and hold harmless Josda, its affiliates, directors, officers, employees, and agents from and against any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Site, your violation of these Terms, or your violation of any third-party rights.

Josda is headquartered in the United States, and we do not represent that the Site is appropriate or available for use outside the U.S. If you access the Site from other countries, you do so on your own initiative and at your own risk, and you are responsible for compliance with local laws—including export and import regulations. You may not use or export the Site or its Content in violation of U.S. export laws and regulations.

• Governing Law. These Terms are governed by the laws of North Dakota, excluding its conflict-of-laws principles and the U.N. Convention on Contracts for the International Sale of Goods.
• Informal Resolution. Please contact us first to resolve any dispute. Most concerns can be quickly resolved informally.
• Arbitration (U.S. Visitors). If we cannot resolve the dispute informally, and unless you opt out within 30 days of acceptance, you and Josda agree to binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. Class-action waivers apply.
• Non-U.S. Visitors. If you are a consumer residing outside the U.S., you may be entitled to file claims in your home jurisdiction under mandatory local law. Nothing in these Terms deprives you of such protections.

We may suspend or terminate your access to the Site at any time, with or without notice, for conduct that we believe violates these Terms or is otherwise harmful. Sections intended to survive (e.g., Intellectual Property, No Legal Advice, Disclaimers, Limitation of Liability, Indemnification, Governing Law) will continue after termination.

• Entire Agreement. These Terms (along with our Privacy Notice) constitute the entire agreement between you and Josda concerning the Site.
• Severability. If any provision is held unenforceable, the remaining provisions will remain in full force.
• Assignment. You may not assign or transfer these Terms without Josda’s written consent. We may assign or transfer our rights and obligations without restriction.
• Force Majeure. Josda is not liable for delays or failure to perform due to causes beyond its reasonable control.
